‍These Terms of Use ("Terms") govern your access to and use of the Grow/Base™ platform ("Platform") operated by GrowthSpan Inc. ("GrowthSpan", "we", "our" or "us"). By accessing or using the Platform, you ("you", "your", "User") agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility & Access
‍Access to the Platform is restricted to authorized employees or representatives of GrowthSpan clients.

You must be legally authorized by your employer to use the Platform.

2. Account Management
‍Clients are responsible for managing their authorized users, including creation, permissions, and termination. GrowthSpan may support the client in managing their users on the client’s behalf upon request.

You agree to keep login credentials confidential and notify us or your organization immediately of any unauthorized access.

3. Permitted UseY
ou may use the Platform solely to:Support business functions authorized by your employer/client;

Access dashboards, forms, or lead data consistent with your role;

Submit, update, or review lead and intake information.

You may not:Use the Platform for illegal or unauthorized purposes;

Modify, reverse-engineer, or decompile the software;

Share access credentials with others;

Interfere with the operation of the Platform.

4. Data Responsibility & Privacy
‍GrowthSpan acts as a data processor and does not control the content or accuracy of client-submitted data.

Clients are responsible for ensuring their users comply with all applicable privacy and industry-specific regulations.

Users agree to comply with our [Privacy Policy] and with their employer's data privacy expectations.

5. Service Availability & Support
‍While we aim for high availability, the Platform may be interrupted for maintenance, upgrades, or unexpected issues.

GrowthSpan is not liable for any downtime, delays, or data loss.

6. Intellectual Property
‍All Platform content, software, and branding is the intellectual property of GrowthSpan or its licensors.

Nothing in these Terms grants you any ownership or license except as expressly provided.

7. Third-Party Services
‍The Platform may rely on third-party service providers for hosting, analytics, communication, or storage.

Use of such services is subject to their respective terms, which GrowthSpan does not control.

8. Termination & Suspension
‍We reserve the right to suspend or terminate your access to the Platform for violations of these Terms or misuse.

Clients may request deactivation of user accounts at any time.

9. Disclaimers & Limitation of Liability
‍The Platform is provided "as-is" and "as-available."

GrowthSpan makes no warranties regarding the accuracy, reliability, or uninterrupted access to the Platform.

To the fullest extent permitted by law, GrowthSpan is not liable for any indirect, incidental, or consequential damages.

10. Changes to Terms
‍We may modify these Terms at any time. Continued use of the Platform following any updates indicates your acceptance.

Material changes will be communicated to client administrators.

11. Governing Law
‍These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict of law rules.
